Waivers
Only the Board of Directors or a designated
committee of independent directors may grant waivers from the
provisions
of this Code involving an executive officer,
financial executive or director. Any such waiver granted to an
officer or
director must be disclosed on a timely basis as
required by law. Any other employee may request a Code waiver
from
his or her senior vice president with the
advance approval of the Legal Department. In general, the
granting of
waivers is discouraged.
